Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services, websites, software, and related offerings (collectively, the “Services”) provided by iamai consulting llc (“Company,” “we,” “us,” or “our”).
We respect your privacy and is committed to protecting personal information.
1. Services
We provide consulting, advisory, automation, artificial intelligence, and related professional services. Services may evolve over time, and we reserve the right to modify or discontinue any aspect of the Services.
2. Managed Tools and Interfaces
Certain Services may include access to software tools, dashboards, workflows, or interfaces operated by the Company as part of managed services (“Service Tools”). Service Tools are provided solely in connection with the Services and are not licensed or offered as standalone software products unless expressly agreed in writing. The Company retains control over the design, configuration, and operation of such tools.
3. User Responsibilities
You agree to:
- Use the Services only for lawful purposes
- Provide accurate and complete information
- Not misuse, disrupt, or attempt to gain unauthorized access to systems or data
You are responsible for maintaining the confidentiality of any credentials associated with your use of the Services.
4. Data Storage and Persistence
Client data processed or stored as part of the Services may be retained on a persistent basis for the duration of an engagement or as otherwise agreed in writing. Data handling, retention, and deletion practices are governed by applicable agreements and the Company’s Privacy Policy.
5. Content Ownership and Intellectual Property
As between the parties, clients retain all rights to their data, content, and information provided in connection with the Services.
All intellectual property rights in the Services, including software, methodologies, tools, and materials used to deliver the Services, are owned by or licensed to the Company unless otherwise agreed in writing.
You may not attempt to reverse engineer, derive, or replicate the underlying systems, models, workflows, or methodologies used to deliver the Services, except to the extent expressly permitted in writing.
Client-specific deliverables and ownership terms may be governed by separate written agreements.
6. Confidentiality
Each party agrees to protect the other party’s confidential information and use it solely for purposes related to the Services, subject to applicable law and contractual agreements.
7. AI and Automated Tools Disclaimer
Our Services may utilize artificial intelligence, machine learning, and automated systems. Outputs generated by AI systems may be probabilistic and should not be relied upon as factual, legal, medical, or professional advice.
You remain responsible for reviewing and validating outputs before relying on them.
8. No Professional Advice
The Services do not constitute legal, medical, financial, or other regulated professional advice unless expressly agreed in writing.
9. Fees and Payment
Fees, payment terms, and refund policies (if any) are governed by separate written agreements or statements of work.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless the Company from claims arising from your use of the Services, violation of these Terms, or misuse of outputs.
13. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Services shall be resolved through good-faith negotiations between the parties. If unresolved, disputes may be subject to binding arbitration or other dispute resolution mechanisms as agreed by the parties in writing.
14. Termination
We may suspend or terminate access to the Services for violations of these Terms or applicable law.
15. Assignment and Succession
The Company may assign or transfer these Terms in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign these Terms without the Company’s prior written consent.
16. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.
17. Changes to Terms
We may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.
